Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Ecliptio Studio, the website at studio.eclipt.io, the marketing site at eclipt.io, and all related services (collectively, the "Platform"), operated by Ecliptio Ltd, a company registered in Malta (Company Registration Number: C111698), with registered office at Northlink Business Centre Level 2, Triq Burmarrad, Naxxar, NXR 6345, Malta, VAT Number MT31906033 (hereinafter referred to as "Ecliptio", "we", "us", or "our").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform. We reserve the right to update these Terms at any time. We will notify registered users of material changes via email at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance.

2. Definitions

• "Workspace" means a multi-tenant container that holds one or more Projects and members. Each user can belong to one or more Workspaces.
• "Project" means a unit of work inside a Workspace, with its own design system, environments, secrets, database, media library, and version history.
• "Specialist" means an AI agent configured by the Platform to run skills, workflows, or multi-step tasks within a Project.
• "Skill" means a reusable workflow or capability available to Specialists, which may produce outputs such as code, copy, images, or decisions.
• "Conversation" means an interactive session between a user and one or more Specialists.
• "AI Configuration" means the choice of AI provider, model, and credentials applied to a Workspace, including Trial Credits, Bring-Your-Own keys, or self-hosted inference endpoints.
• "Trial Credits" means a complimentary cents-based budget granted to a Workspace for AI inference via Ecliptio's provider account.
• "Customer Data" means any data, content, files, code, media, or configuration that you or your Workspace members upload, generate, or store on the Platform.
• "Subscription" means a recurring paid plan granting enhanced access to Platform features, billed via Stripe.

3. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Accounts

4.1 Registration

To access the Platform, you must create an account by providing accurate and complete information, including a valid email address that you control. You may also register via a supported identity provider (e.g., Google). You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4.2 Email Verification

Account creation requires email verification. Until your email is verified, certain features of the Platform may be limited.

4.3 Account Security

You must notify us immediately at support@eclipt.io if you become aware of any unauthorized use of your account. We are not liable for losses arising from unauthorized use of your account due to your failure to maintain credential confidentiality.

4.4 Account Termination

You may delete your account at any time through the Platform settings. Account deletion will, within 30 days, permanently remove your personal data and any Customer Data exclusively belonging to your personal Workspace, subject to retention obligations described in our Privacy Policy. We may suspend or terminate your account if you materially violate these Terms, with or without prior notice depending on the severity of the violation.

5. Platform Services

5.1 Free Tier with Trial Credits

New Workspaces receive a complimentary Trial Credits balance for AI inference via Ecliptio's provider account, subject to the limits stated on the Platform. Trial Credits are non-transferable, non-refundable, and have no cash value. Once exhausted, AI features will be unavailable until the Workspace either tops up, configures its own provider keys, or points to a self-hosted inference endpoint.

5.2 Bring Your Own AI

You may configure a Workspace to use your own provider API keys (e.g., OpenRouter, Anthropic, OpenAI, Gemini, DeepSeek). Any usage incurred against your provider account is your sole responsibility, including all fees, rate limits, and compliance with that provider's terms. We encrypt stored keys at rest using AES-256-GCM but cannot guarantee against unauthorized usage of your provider account if a key is compromised through means other than a Platform breach.

5.3 Self-Hosted Inference

You may configure a Workspace to use AI inference endpoints hosted on your own infrastructure (e.g., MLX, Ollama, vLLM). Ecliptio is not responsible for the availability, performance, accuracy, or compliance posture of any self-hosted endpoint you configure.

5.4 Paid Subscription Plans

The Platform may offer paid subscription plans with enhanced features, capacity, or hosted infrastructure as described on the pricing page. Subscription fees are charged via Stripe. All prices are in Euros (EUR) and include applicable VAT where required. Subscriptions auto-renew unless cancelled before the renewal date.

5.5 Hosting and Infrastructure

The Platform offers, by default, hosting, storage, staging environments, and deploys for Projects on infrastructure operated by Ecliptio. You may, on a per-Project basis, configure the Platform to point to your own servers, storage, or domain. Where you elect to use your own infrastructure, you are responsible for its availability, security, and compliance.

6. AI-Generated Content Disclaimer and Non-Reliance

IMPORTANT: All outputs produced by Specialists, Skills, and AI features on the Platform are generated by artificial intelligence and may contain inaccuracies, errors, hallucinations, biased outputs, or unsafe code.

6.1 Nature of AI Content

AI-generated content on the Platform:

• Does NOT constitute professional advice of any kind, including but not limited to legal, financial, medical, security, or engineering advice
• Should NOT be relied upon as a substitute for consultation with qualified professionals
• May contain factual inaccuracies, broken code, insecure patterns, or fabricated references
• Is NOT deterministic and may produce different results for the same input
• Should be reviewed, tested, and validated by you before use in production or before relying on it for consequential decisions

6.2 Non-Reliance

You explicitly acknowledge and agree that:

• AI-generated code may contain bugs, security vulnerabilities, or inefficiencies, and you are responsible for reviewing, testing, and securing any code you put into production
• AI-generated copy, designs, or media may include hallucinated facts, misattributed quotes, or content that infringes third-party rights, and you are responsible for verifying accuracy and clearance before publication
• You shall not base medical choices, financial investments, legal actions, or other consequential life decisions solely on AI-generated content from the Platform
• Any actions you take based on AI-generated content are entirely at your own risk and discretion

7. Intellectual Property

7.1 Platform IP

The Platform, including its source code, design system, brand identity, Specialist orchestration, Skill library, AI integrations, hosting plane, and related infrastructure, is the intellectual property of Ecliptio Ltd. You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Platform.

7.2 Customer Data Ownership

You retain all rights, title, and interest in and to your Customer Data. By submitting Customer Data, you grant Ecliptio a non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and process Customer Data solely as needed to operate the Platform and provide the services to you and your Workspace members.

7.3 AI Outputs

Outputs generated by AI features at your direction within your Workspace are yours to use, subject to:

• The terms of any third-party AI provider whose model produced the output (e.g., OpenAI, Anthropic, Google)
• Applicable copyright law in your jurisdiction, which in some jurisdictions may not extend full copyright protection to fully AI-generated outputs
• Any third-party content embedded in your prompts (e.g., copyrighted text, code, or images you provided as input)

You are responsible for ensuring that your use of AI outputs complies with all applicable laws and licenses.

8. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, decompile, or extract source code from the Platform
• Use automated tools (bots, scrapers) to access the Platform beyond rate limits or without written permission
• Circumvent Trial Credit limits, rate limits, multi-tenant isolation, or other access restrictions
• Use the Platform to generate, distribute, or amplify spam, phishing, malware, child sexual abuse material, content that depicts non-consensual intimate imagery, content that incites violence, or content that infringes third-party rights
• Use the Platform to build a competing service that is substantially similar in feature set, marketing, or branding
• Impersonate another person, entity, or Ecliptio
• Upload Customer Data that you do not have the right to upload
• Use the Platform to harass, abuse, threaten, or harm others
• Resell, sublicense, or redistribute access to the Platform without authorization

We reserve the right to suspend or terminate access for any Workspace or account that we reasonably believe is engaged in any of the above conduct.

9. Payments, Refunds, and Cancellation

9.1 Payment Processing

All payments are processed securely via Stripe. Ecliptio does not store credit card information. By making a purchase, you agree to Stripe's terms of service.

9.2 Subscription Cancellation

You may cancel your subscription at any time via the Platform settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a subscription period unless required by mandatory consumer law.

9.3 Right of Withdrawal — Digital Services (EU Consumers)

Under EU Directive 2011/83/EU, EU consumers have 14 days from the date of purchase to withdraw from a contract for digital services.

Waiver of Right of Withdrawal: Before completing any subscription purchase, you will be asked to expressly confirm the following statement via an active checkbox:

"I request immediate access to the subscribed services and acknowledge that I thereby lose my 14-day right of withdrawal once the services have been used."

By checking this box and completing the purchase, you explicitly consent to immediate performance and acknowledge the loss of your right of withdrawal upon first use.

9.4 Refunds

Refund requests for billing errors or service unavailability should be directed to support@eclipt.io. We will process valid refund requests within 14 business days.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECLIPTIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR DOWNTIME, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR EUR 100, WHICHEVER IS GREATER.

Without limiting the foregoing, Ecliptio expressly disclaims any liability for: (a) decisions made or actions taken by users based on AI-generated content; (b) loss or corruption of Customer Data, except where caused by our gross negligence; (c) outages of third-party AI providers, hosting providers, or other dependencies; (d) any consequence arising from your configuration of self-hosted endpoints, Bring-Your-Own AI keys, or external infrastructure.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ecliptio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your Customer Data, your AI Configuration, your violation of these Terms, or your infringement of any third-party rights.

12. Third-Party Services

The Platform integrates with third-party services that may include, depending on your AI Configuration and account status: OpenRouter, Anthropic, OpenAI, Google (Gemini), DeepSeek, Stripe (payments), SendGrid (email), Wasabi (storage), Hetzner (hosting), and others as listed in our Privacy Policy. Your use of these services, where applicable, is subject to their respective terms and privacy policies. Ecliptio is not responsible for the availability or performance of third-party services.

13. Modifications to the Platform

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We will make reasonable efforts to notify users of significant changes via email or in-app notice. We are not liable for any modification, suspension, or discontinuation of the Platform.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Malta. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malta.

For EU consumers: Nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence. You may also bring proceedings in the courts of the EU member state in which you reside.

EU Online Dispute Resolution: The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any subscription-specific terms, constitute the entire agreement between you and Ecliptio regarding the Platform.
